Terms of Service

1. The parties

This agreement is entered into between boost flowz, trade name of Boost Flowz Negócios Digitais Ltda., registered under CNPJ number 61.696.933/0001-50, headquartered in Brasília, Brazil ("boost flowz", "we"), and the individual or legal entity contracting our services ("Client", "you").

2. Scope

boost flowz provides services in commercial strategy, AI automations, technology implementation and consulting for businesses seeking growth in revenue, margin and operational structure. Specific services, timelines, deliverables and fees are defined in the commercial proposal accepted by the Client.

3. boost flowz obligations

• Execute contracted services with excellence, within agreed timelines
• Maintain confidentiality of Client's proprietary information
• Proactively communicate risks or obstacles that may affect deliverables
• Provide service channels for alignment and support during the contract term

4. Client obligations

• Provide information, access and materials necessary for service delivery
• Meet established timelines for reviews, approvals and feedback
• Make payments as agreed in the commercial proposal
• Ensure all content and materials provided to boost flowz respect third-party rights and applicable law
• Be entirely responsible for content published in their campaigns and communications, including ads on platforms such as Meta (Facebook and Instagram), Google and WhatsApp Business, in compliance with each platform's policies

5. Confidentiality

Both parties agree to maintain strict confidentiality over strategic, commercial and technical information exchanged during the contractual relationship, both during its term and after its conclusion.

6. Intellectual property

Deliverables produced exclusively for the Client become their property upon full payment of agreed amounts. Tools, methodologies, frameworks and generic automations developed by boost flowz remain its intellectual property.

7. Payment

Amounts, payment methods and conditions are defined in the commercial proposal accepted by the Client. Late payment may result in service suspension, without prejudice to other available legal remedies.

8. Termination

Either party may terminate the agreement with formal notice at least 30 days in advance, unless otherwise specified in the proposal. In case of termination by the Client without just cause, amounts for services already rendered or in progress are due in full.

9. Limitation of liability

boost flowz does not guarantee specific revenue, conversion or growth results, as these depend on external factors and the Client's own execution. Our liability is limited to the quality and execution of the agreed deliverables.

10. Amendments

These Terms may be updated periodically. Continued use of services after changes are published constitutes acceptance of the new terms.

11. Jurisdiction

The courts of Brasília/DF, Brazil are elected to resolve any disputes arising from this agreement, with waiver of any other jurisdiction, however privileged it may be.

12. Prohibited uses

By contracting boost flowz services, the Client declares they will not use deliverables, automations or strategies for:

• Illegal, fraudulent activities or those that violate third-party rights
• Spam or unsolicited communications in violation of applicable law
• Misleading, abusive ads or those that violate Meta, Google, WhatsApp Business or any other platform's Advertising Policies
• Unauthorized collection of third-party personal data
• Any practice that may result in the Client's accounts being banned from marketing platforms, social networks or communication tools

boost flowz reserves the right to immediately terminate the agreement, without refund, should it identify any use violating these prohibitions.
